1. Eligibility

You must be at least 18 years old (or the minimum legal age in your jurisdiction) to use our services. By using the Site, you represent and warrant that you meet this requirement and have the legal capacity to enter into binding contracts.

2. Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately at hi@uncledomains.com if you suspect unauthorized use. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Not share your account credentials with others
• Accept responsibility for all activities conducted through your account

3. Transactions

All domain listings, purchases, and sales on the Site are subject to these Terms. We act as a facilitator and may use escrow services for security. Users are responsible for verifying the accuracy of listings and fulfilling their obligations.

3.1 Sellers

• Must have legal ownership and transfer rights for listed domains
• Must provide accurate descriptions and pricing
• Are responsible for initiating domain transfers within 48 hours of payment confirmation
• Must cooperate with the escrow process

3.2 Buyers

• Must complete payment through approved methods
• Should verify domain availability and status before purchase
• Must accept domain transfers within the specified timeframe
• Acknowledge that all sales are final once the domain is transferred

4. Fees and Payment Terms

We charge a 5% escrow fee on completed domain sales. Other fees may apply for premium listings or buyer plans, as detailed on the Site.

• Transaction Fee: 5% of the final sale price (deducted from seller's proceeds)
• Premium Listings: $49 for 3 months, $89 for 6 months
• Buyer Plans: $19/month, $69/quarter, $199/year
• NDA Services: $19.39/month, $69/quarter
• All fees are non-refundable unless explicitly stated
• Payment processing fees may apply based on your chosen payment method

5. Domain Listings

When listing a domain for sale, you agree to:

• Ensure you have full legal ownership and transfer authority
• Provide accurate domain information, including registration date and expiration
• Not list domains that infringe on trademarks or intellectual property rights
• Keep your listing active and honor the listed price for serious buyers
• Respond to buyer inquiries within 48 hours

We reserve the right to remove listings that violate these Terms, contain misleading information, or are associated with fraudulent activity.

6. Prohibited Activities

Users may not:

• Engage in fraud, phishing, or misrepresentation
• Use the Site to infringe intellectual property rights or trademarks
• Disrupt the operation or security of the Site
• Share or sell accounts or access to the Site without permission
• List domains you do not own or have authority to transfer
• Manipulate prices through fake bids or shill bidding
• Attempt to circumvent escrow or payment processes
• Harass, threaten, or abuse other users
• Use automated bots or scrapers without authorization
• Upload malicious code, viruses, or harmful content
• Impersonate Uncle Domains staff or other users

7. Intellectual Property

All content on Uncle Domains, including logos, trademarks, text, graphics, and software, is the property of Uncle Domains or its licensors and is protected by copyright and trademark laws. You may not reproduce, distribute, or create derivative works without our express written permission.

8. Privacy and Data Protection

Your use of the Site is also governed by our Privacy Policy. We collect, process, and store personal information as described in our Privacy Policy. By using the Site, you consent to such processing and warrant that all data provided is accurate.

9. Dispute Resolution

In the event of disputes between buyers and sellers, we encourage parties to resolve matters directly. Uncle Domains may offer mediation services but is not obligated to do so. We reserve the right to withhold funds in escrow pending resolution of legitimate disputes.

Users agree to first attempt informal resolution by contacting us at hi@uncledomains.com before pursuing formal legal action.

10. Account Termination

We reserve the right to suspend or terminate your account at our discretion if you:

• Violate these Terms of Service
• Engage in fraudulent or illegal activity
• Fail to complete transactions or respond to inquiries
• Receive multiple complaints from other users

You may also terminate your account at any time by contacting us. Termination does not relieve you of obligations for pending transactions or fees owed.

11. Refunds and Cancellations

Domain sales are final once the domain transfer is completed. Refunds may be issued only in cases of:

• Seller's inability to transfer the domain within 7 days
• Material misrepresentation of the domain by the seller
• Technical failures on our platform preventing transfer

Subscription fees for buyer plans, premium listings, and NDA services are non-refundable. You may cancel subscriptions at any time, but no prorated refunds will be provided.

12. Escrow Services

For your protection, we use escrow services for domain transactions. The process works as follows:

• Buyer submits payment to escrow
• Seller initiates domain transfer
• Buyer confirms receipt of domain
• Funds are released to seller minus applicable fees

By using our escrow services, you agree to cooperate with the process and respond to communications within 48 hours. Failure to do so may result in automatic completion or cancellation of the transaction.

13. Disclaimer of Warranties

The Site and services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not guarantee:

• Successful completion of transactions
• Accuracy or completeness of listings
• Uninterrupted or error-free operation of the Site
• Security of your data transmission
• The quality, safety, or legality of domains listed

14. Limitation of Liability

To the maximum extent permitted by law, Uncle Domains, its officers, directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, revenue, or business opportunities
• Loss of data or information
• Cost of substitute services
• Personal injury or property damage

Our total liability to you for any claims arising from use of the Site shall not exceed the amount of fees you paid to us in the six months preceding the claim, or $100, whichever is greater.

15. Indemnification

You agree to indemnify, defend, and hold harmless Uncle Domains and its affiliates from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from:

• Your violation of these Terms
• Your infringement of any intellectual property or other rights
• Your domain listings or transactions
• Your misuse of the Site or services

16. Modifications to Terms

We may modify these Terms at any time at our sole discretion. Changes will be posted on the Site with an updated effective date. Material changes will be communicated via email or prominent notice on the Site. Continued use of the Site after changes constitutes acceptance of the updated Terms.

If you do not agree to the modified Terms, you must stop using the Site and may request account closure.

17. Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

18. Waiver

Our failure to enforce any right or provision of these Terms will not constitute a waiver of such right or provision. No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.

19. Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms to any affiliate or in connection with a merger, acquisition, or sale of assets.

20. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published on the Site, constitute the entire agreement between you and Uncle Domains regarding your use of the Site and supersede all prior agreements and understandings.

21. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of India, without regard to conflict of law principles. Any disputes, claims, or causes of action arising from or relating to these Terms or your use of the Site shall be subject to the exclusive jurisdiction of the courts located in Kerala, India.

By using the Site, you irrevocably consent to the jurisdiction and venue of such courts.
